A construction company valuation estimates what a contractor or builder is worth by linking its order book, project margins, equipment, working capital and bank guarantees to the cash it can generate and the risks a buyer or investor sees. In India, owners use it to sell a stake, bring in a partner, raise capital, settle family matters or complete an acquisition.
Aviaan Accounting’s partner-led valuation team works with contractors, promoters and investors across India, the GCC and international markets, applying methods aligned with globally accepted valuation practice and connecting each valuation with financial due diligence and financial modelling when a transaction needs them.

Public investment is driving construction activity across India. The Union Budget 2026-27 raised the Centre’s capital expenditure to a record ₹12.2 lakh crore for FY27, up from ₹11.2 lakh crore. As order books grow, contractors attract investors, strategic buyers and new partners, and each transaction needs a defensible value. An independent valuation helps you:
Our construction valuations draw on Aviaan Accounting’s global valuation practice.
Depending on the purpose, our work covers:
Each construction company appraisal ends with a clear report setting out the purpose, methods, assumptions, limitations and concluded value, followed by a walkthrough with management.
No single method suits every construction business. We select and weigh methods according to segment, order book, asset intensity and purpose:
| Method | Best suited to | Construction-specific inputs |
| Discounted cash flow (DCF) | Contractors with a visible order book | Order-book execution, project margins, working-capital cycle, equipment capex |
| Comparable company multiples | Firms with listed EPC or construction peers | EV/EBITDA and EV/order book adjusted for size, segment and client mix |
| Precedent transactions | Segments with observable deals | Multiples paid for comparable contractors or EPC businesses |
| Asset-based approach | Asset-heavy or loss-making firms | Fair value of equipment, land, buildings and receivables less liabilities |
Where equipment, land or buildings need separate fair values, these are assessed by valuers registered with the Insolvency and Bankruptcy Board of India in the relevant asset class and reflected in the business valuation.
The size, quality and margin of the order book, execution timelines and the tender pipeline drive future cash flows. We review major contracts one by one rather than relying on a headline order-book figure, and separate secured contracts from bids that are still being evaluated.
Revenue recognised over time under Ind AS 115, cost overruns, variation orders and escalation clauses can make reported profits differ from cash. We reconcile the two before valuing the business.
Unbilled revenue, retention money, delayed payments from government clients and bank guarantee limits often decide whether a profitable contractor has enough cash. We normalise these items and treat long-overdue receivables and arbitration claims carefully.
The age and utilisation of the equipment fleet, replacement capex, skilled workforce and reliance on subcontractors affect both margins and risk. Equipment that is leased, hypothecated to lenders or nearing the end of its life is flagged so buyers see the true replacement burden.
For contractors that depend on a few clients or a single State’s projects, concentration risk, eligibility for larger tenders and the promoter’s role in winning work are reflected in the discount rate and the value conclusion.
A construction company valuation for acquisition looks beyond the order book to execution capability, contract terms, pending claims and hidden liabilities. Where financial due diligence changes the view of earnings, working capital or contingent liabilities, the valuation moves with it, and after closing the same work supports purchase price allocation.
Owners preparing to sell benefit from knowing their value before buyers set the price. We identify what increases value, such as a clean order book, documented processes and reduced promoter dependence, and what buyers are likely to discount.
Private equity and strategic investors look at order-book quality, return on capital, working-capital intensity and management depth. We show the value range the business can justify and how it changes under different execution scenarios.
When a partner joins, exits or buys out another, an independent value avoids disputes. We normalise partner salaries and related-party subcontracts, and set out a transparent basis for the price, including how ongoing projects, retention money and guarantees will be shared.
| Purpose | Governing framework | Typical requirement |
| Share issue or transfer involving a non-resident (unlisted company) | FEMA; Non-Debt Instruments Rules, 2019 | Fair value certified by a CA, SEBI-registered Merchant Banker or practising Cost Accountant |
| Valuations required under company law | Companies Act, 2013, Section 247 | Valuation by an IBBI registered valuer |
| Tax computations based on fair market value | Income-tax Act, 2025 and Income-tax Rules, 2026 | Fair market value under the prescribed rules |
| Acquisitions, impairment and contract accounting | Ind AS 103, Ind AS 36 and Ind AS 115 | Fair value measurements supporting audited accounts |
| Sale, investment, partnership and disputes | Commercial agreement | Independent, well-documented valuation |

Every construction valuation starts with a different question. Here is how Aviaan Accounting’s team approaches three common ones:
The challenge: a family-owned road contractor wanted a private equity investor to fund bigger tenders. What we did: contract-by-contract order-book analysis, working-capital and guarantee review, equipment valuation by a registered valuer and comparable EPC multiples. Why it matters: the family negotiates with a clear view of order-book quality and value.
The challenge: two partners in a residential construction firm decided to split. What we did: project-wise valuation, normalised partner expenses and related-party subcontracts, and a transparent allocation basis. Why it matters: both partners agree on an independent, documented value.
The challenge: a larger contractor wanted to buy a specialist MEP firm and account for the deal under Ind AS. What we did: a valuation reflecting due-diligence adjustments and pending claims, followed by purchase price allocation to customer relationships and order book. Why it matters: the board approves the price with confidence and auditors receive a defensible allocation.
It depends on the quality and margin of your order book, working-capital needs, equipment, client mix and risks. A DCF of expected project cash flows, cross-checked against market multiples, usually gives the most reliable range.
A strong, profitable order book, reliable clients, low dependence on the promoter, well-maintained equipment, healthy cash conversion and few disputes or claims.
It depends on the purpose. Company-law valuations need an IBBI registered valuer; FEMA pricing for unlisted shares needs a CA, SEBI-registered Merchant Banker or practising Cost Accountant; commercial valuations should be independent and well documented.
Typically three years of financial statements, the contract list and order book, work-in-progress reports, the fixed-asset register, bank guarantee details, claims and projections.
Fees depend on purpose, number of projects, data quality and regulatory requirements. We share a fixed quote after the initial discussion.
